1.0     PURPOSE

The purpose of this policy is to outline the relationship between the University and the Board of Trustees.

3.0     POLICY 

3.1     Membership. The Board of Trustees consists of persons and for terms as described in Utah Code 53B-2-104. 

3.2     Authority and Responsibilities. The Board of Trustees’ authority and responsibilities are as set forth in law, Utah Board of Higher Education policy, and University policy. 

3.3     Relationship with the President. The President works with the Board of Trustees to assist them in accomplishing their responsibilities. Utah law vests the authority for the day-to-day administration of the University in the President of the University and does not permit the Board of Trustees to exercise the administrative prerogatives of the President. As required by law, Board of Higher Education policy, University policy, or as deemed appropriate by the President, the President submits items to the Board of Trustees for approval, for consultation, or for information, in a manner deemed appropriate by the President. 

3.4     Conduct of Business. The Board of Trustees shall conduct its business in accordance with the law and may create bylaws to govern their actions, in accordance with applicable Board of Higher Education policy. 

3.4     Committees. The Board of Trustees may establish such committees as it deems necessary to properly fulfill its responsibilities, provided that such committees shall be advisory only. All matters requiring board determination shall be presented to and considered by the entire board. No final action or appointment will be approved by a Board of Trustees committee, except as may be permitted by law. 

3.5     Meetings.  It is the policy and intent of the Board of Trustees to comply fully with legislation regarding Board of Trustees meetings that are to be open to the public. (See Utah Code 52-4-101 et. seq.)
